🚩 Red Flag Story: Addback Shenanigans

āš ļø A BDO brought us in to review a $1.9M acquisition. Everything looked solid… until it didn’t.

The seller’s addbacks included:
šŸš— $26K in personal car leases
šŸ’¼ $15K salary to the seller’s spouse
šŸ“£ $48K in critical marketing (not actually discretionary)
🐾 And… $2,400 in ā€œpet careā€ šŸ•

Once we normalized earnings correctly, the value dropped by over $300K.

āœ… The lender avoided overexposure.
āœ… The buyer still closed—at a much safer valuation.

Red flags don’t just kill deals. Sometimes they save them—if you catch them early.
